Membership and Confidentiality Agreement
In consideration of your membership or potential membership in Delivery Service Providers for Fair and Ethical Treatment (DEFT) (a chapter of American Association of Franchisees & Dealers, or AAFD), you agree as follows:
1. Executive Committee. DEFT will be managed by an executive committee ( the “Committee”) that has regulations regarding its composition, powers, and voting procedures. To preserve the anonymity of the Committee’s members, they will be identified only by their pseudonyms. The Committee’s members shall not be liable to DEFT or to any of its members for any actions or inactions other than intentional misconduct. DEFT may indemnify Committee members for any liability arising out of their serving on the Committee except for intentional misconduct.
2. Member anonymity. DEFT and AAFD will use best efforts to preserve the anonymity of DEFT members. DEFT and AAFD will not be liable if, for reasons other than intentional, non-compelled disclosure, a member’s identity is disclosed.
3. Legal counsel. DEFT, as directed by its Executive Committee, may retain legal counsel to represent the interests of DEFT. Such counsel will represent DEFT and not you as an individual DSP. You have the right to retain your own individual legal counsel at any time and for any purpose. You may also request DEFT counsel to represent you individually, and counsel may agree to do so if representation does not pose a conflict with its representation of DEFT.
4. Confidentiality. You shall keep confidential all communications, documents, and information sent to you from DEFT, or learned by you from your participation in DEFT (“Confidential Information”). This means that you cannot disclose Confidential Information to anyone not a member of DEFT.
5. Subpoenas. If you receive a subpoena court order, or any legal document requesting Confidential Information related to DEFT, you shall promptly give notice to DEFT of any such request, and, before disclosing any Confidential Information, shall allow DEFT a reasonable opportunity to defend against any such request.
6. Court protective order. DEFT, acting through the Committee, has the right to seek a court order preventing the disclosure of Confidential Information or other breach of this agreement.
7. Confidentiality obligations continue. You agree that the confidentiality obligations described in this document will continue to apply even if you withdraw as a member of DEFT.
8. Please note that in accordance with our membership policy, all dues are non-refundable and non-transferable.
