Membership and Confidentiality Agreement

In consideration of your membership or potential membership in DEFT | DSPs for Equitable and Fair Treatment (“DEFT”), a chapter of the American Association of Franchisees & Dealers (“AAFD”), you agree as follows:

1. Executive Committee. DEFT will be managed by an executive committee (the “Committee”) that has regulations governing its composition, powers, and voting procedures. To preserve the anonymity of the Committee’s members, they will be identified only by their pseudonyms. The Committee’s members shall not be liable to DEFT or any of its members for any actions or inactions other than intentional misconduct. DEFT may indemnify Committee members for any liability arising from their service on the Committee, except for liability resulting from intentional misconduct.

2. Member Anonymity. DEFT and AAFD will use their best efforts to preserve the anonymity of DEFT members. DEFT and AAFD will not be liable if, for reasons other than an intentional disclosure not compelled by law, a member’s identity is disclosed.

3. Legal Counsel. DEFT, as directed by its Executive Committee, may retain legal counsel to represent the interests of DEFT. Such counsel will represent DEFT and not you as an individual DSP. You have the right to retain your own individual legal counsel at any time and for any purpose. You may also request that DEFT counsel represent you individually, and counsel may agree to do so if such representation does not create a conflict with counsel’s representation of DEFT.

4. Confidentiality. You shall keep confidential all communications, documents, and information sent to you by DEFT or learned by you through your participation in DEFT (“Confidential Information”). This means that you may not disclose Confidential Information to anyone who is not a member of DEFT.

5. Subpoenas and Legal Requests. If you receive a subpoena, court order, or other legal document requesting Confidential Information related to DEFT, you shall promptly notify DEFT of the request. Before disclosing any Confidential Information, you shall allow DEFT a reasonable opportunity to defend against or otherwise respond to the request.

6. Court Protective Order. DEFT, acting through the Committee, has the right to seek a court order preventing the disclosure of Confidential Information or any other breach of this Agreement.

7. Continuing Confidentiality Obligations. You agree that the confidentiality obligations described in this Agreement will continue to apply even if you withdraw or otherwise cease to be a member of DEFT.

8. DEFT Annual Membership. DEFT membership is annual, automatically renews according to the selected payment option, and may be paid in full or through monthly installments toward the annual dues. Members who select the monthly installment option remain responsible for paying the full annual membership dues, even if the membership is canceled before the end of the current annual term.

To cancel a future renewal, members must email DEFT at deft@deft-us.com at least thirty (30) days before the renewal date. Cancellation applies only to future renewal terms and does not reduce or eliminate any remaining balance owed for the current membership year. All dues are non-refundable and non-transferable.
